Carmel Dashboard — End-User License Agreement

This End-User License Agreement ("Agreement") governs use of the Carmel Dashboard (the "Software"), an internal business operations application owned and operated by DPC Services, Inc. dba Carmel Custom Homes ("Company," "we," "us," or "our").
1. Internal Use Only
The Software is a private, internal business tool. It is not offered for sale, public distribution, or use by the general public. Access is limited to Company employees, officers, and authorized personnel (each, a "User") who have been granted credentials by the Company.
2. License Grant
Subject to this Agreement, the Company grants each User a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for the purpose of performing work on behalf of the Company. No other use is authorized.
3. Restrictions
Users may not:
Share, transfer, or disclose their access credentials to any other person
Access the Software for any purpose unrelated to Company business
Copy, modify, reverse engineer, decompile, or create derivative works of the Software
Extract, export, or disclose Company or client data except as required for authorized Company business
Use the Software in violation of any applicable law or regulation
4. Ownership
The Software, including all code, designs, documentation, and associated intellectual property, is and remains the exclusive property of DPC Services, Inc. This Agreement grants a license to use the Software; it does not transfer any ownership interest.
5. Company and Client Data
All data entered into, generated by, or accessed through the Software — including project records, labor and time records, financial records, documents, and records synchronized from third-party systems such as QuickBooks Online and QuickBooks Time — is the property of the Company or its clients, as applicable. Users have no personal ownership interest in such data.
Users are responsible for the accuracy of data they enter and for handling confidential Company and client information in accordance with Company policy.
6. Third-Party Services
The Software integrates with third-party services, including QuickBooks Online and QuickBooks Time (Intuit Inc.). Use of those services is governed by their own terms and conditions. The Company is not responsible for the availability, accuracy, or performance of third-party services.
7. Termination
Access to the Software terminates automatically when a User's employment or authorized relationship with the Company ends, or at any time at the Company's discretion. Upon termination, the User must cease all use of the Software and may not retain copies of any data obtained through it.
8. No Warranty
The Software is provided "as is" and "as available," without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. The Company does not warrant that the Software will be uninterrupted, error-free, or free of harmful components.
9. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from or related to use of the Software.
10. Changes to This Agreement
The Company may update this Agreement at any time. Continued use of the Software after an update constitutes acceptance of the revised terms. Material changes will be communicated to Users.
11. Governing Law
This Agreement is governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any dispute arising under this Agreement shall be resolved in the state or federal courts located in Monterey County, California.
